By using this Website, you represent and warrant that you are of legal age to form a binding contract with Curi and meet all of the foregoing eligibility requirements. Please note- If you enter (or have entered) into any other agreement(s) with Curi—including, but not limited to, a malpractice insurance policy, confidentiality and non-disclosure agreement, business associate agreement—these Terms are in addition to the terms of such other agreement(s). In the event of a conflict between these Terms and any other agreement(s) between you and Curi, those agreements shall govern to the extent of the conflict(s). Entering into such agreements, visiting the Website, or agreeing to any of these Terms, does not guarantee you as eligible for any product and/or service offered through the Website or otherwise.

Curi may change these Terms at any time, in its sole discretion, and such changes will be posted on this webpage. Any such changes are effective immediately as of the time they are posted on the Website and apply to all access to and use of the Website thereafter. If you download, view, and/or utilize Curi materials provided for use by Members only, you agree not to display, distribute, license, publish, reproduce, duplicate, copy, create derivative works form, modify (including but not limited to rebrand), sell, resell, transfer or upload for any commercial purposes, all or any portion of these materials for any purpose unless explicitly authorized.

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other third party providers, merchants, sponsors, and licensors of such material that have licensed their content or the right to market their products and/or services to the Company and are governed and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws and treaties.

Indemnification

Governing Law and Jurisdiction

RESOLVING DISPUTES

If a dispute should arise between you and Curi, we want to provide you with a resolution that is efficient and cost effective by using our customer service team. Almost all customer service disputes can be resolved to the customer’s satisfaction by using our customer service, reachable by sending an email to the applicable Curi entity found on our Contact Us page.
If your dispute cannot be resolved using our customer service team, these Terms describe how we shall proceed with the resolution of the dispute.

AGREEMENT TO ARBITRATE DISPUTES

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

IF YOU ARE A U.S. RESIDENT, YOU ALSO AGREE TO THE FOLLOWING MANDATORY ARBITRATION PROVISIONS:

  1. WE BOTH AGREE TO ARBITRATE: You and Curi agree to resolve any claims relating to these Terms through final and binding arbitration, except that, to the extent you have in any manner violated or threatened to violate Curi’s intellectual property rights (for example, trademark, trade secret, copyright, or patent rights). Under such circumstances Curi may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Site, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above.
  2. WHAT IS ARBITRATION: Arbitration is more informal than a lawsuit in court and seeks to resolve disputes more quickly. Instead of a judge or a jury, the case will be decided by a neutral arbitrator who has the power to award the same damages and relief that a court can. If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.
  3. ARBITRATION PROCEDURES: The Federal Arbitration Act governs the interpretation and enforcement of this dispute resolution provision. Arbitration shall be initiated through JAMS. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally determined by arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures. If there is a conflict between JAMS Rules and the rules set forth in this Agreement to Arbitrate, the rules set forth in this Agreement to Arbitrate will govern. The JAMS Rules and instructions for how to initiate an arbitration are available from JAMS at http://www,jamsadr.com. To initiate arbitration, you or Curi must do the following things:
    1. Write a demand for Arbitration. The demand must include a description of the Claim and the amount of damages sought to be recovered. You can find a copy of a Demand for Arbitration at www.jamsadr.com.
    2. Send three copies of the Demand for Arbitration, plus the appropriate filing fee to your local JAMS office.
    3. Send one copy of the Demand for Arbitration to the other party.

    Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules. The arbitration may award on an individual basis the same damages and relief as a court (including injunctive relief). Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

  4. AUTHORITY OF ARBITRATOR: The arbitrator will decide the rights and liabilities, if any, of you and Curi, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the Arbitration Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have.
  5. NO CLASS ACTIONS: You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed
  6. WAIVER OF JURY TRIAL: THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in court and are subject to very limited review by a court. In the event any litigation should arise between you and Curi in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND CURI WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge. YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING TO ACCEPT THIS AGREEMENT TO ARBITRATE.

OPT-OUT OF AGREEMENT TO ARBITRATE: You can decline this agreement to arbitrate by providing written notice sent via certified mail addressed to Curi Management Company, LLC, 700 Spring Forest Rd., Suite 400, Raleigh, North Carolina 27609, and providing the requested information as follows: (1) Your Name; (2) the URL of Terms of Use and Agreement to Arbitrate Disputes; (3) Your Address; (4) Your Phone Number; (5) and clear statement that you wish to opt out of this arbitration provision in the Terms of Use. The Opt-Out Notice must be mailed no later than 30 days after the date you first accept the Terms of Use by using the website. However, under all circumstances, it must be received within 30 days of the date the matter giving rise to the claim occurred.

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including but not limited to arbitration and non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule (whether of the State of North Carolina or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in the City of Raleigh and County of Wake, and you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

The foregoing does not affect Curi’s right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule (whether of the State of North Carolina or any other jurisdiction).

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

The provisions and conditions of these Terms, and each obligation referenced herein, represent the entire Agreement between Curi, its affiliated or related entities, displaying these Terms, and you. These Terms supersede any prior agreements or understandings not incorporated herein. In the event that any inconsistencies exist between these Terms and any future published terms of use or understanding the last published Terms of Use shall prevail.

Code of Conduct and Ethics for Business Partners

  1. INTRODUCTION

    Curi is committed to maintaining an ethical workplace and complying with the laws and regulations governing our organization. We are committed to applying high standards of ethics and business conduct where we operate and with our business relationships with our vendors and service providers (our “Business Partners”).

    In delivering on our mission, Curi relies on Business Partners to share our commitment to achieving the highest standards of service, quality, excellence, ethics, safety, legal compliance, and respect for human rights.

    To help you understand our expectations and your obligations as a Curi Business Partner, we developed this Vendor Code of Conduct and Ethics (the “Code”). We expect our Business Partners to understand and comply with this Code and the guiding principles behind our corporate values while conducting with and on behalf of Curi or any of its subsidiary companies (collectively, “Curi”).

    This Code is not an exhaustive list of policies, laws, or regulations. The Code provides guidance and policy statements to Business Partners about the general business conduct expected by Curi.

  2. BUSINESS BEHAVIORS
    1. Cooperation: Curi expects all Business Partners to cooperate with our compliance requests and obligations, including the expectation that all individuals representing our Business Partners understand and comply with this Code.

    2. Comply with ethical business principles: Curi expects all Business Partners will conduct their business and activities with integrity and according to their obligations under their agreement(s) with Curi. We recognize that Business Partners will have internal codes of conduct that will share and overlap with the principles of Curi’s Code, our expectation is that Business Partners will also comply with this Code.

    3. Mutual respect: Curi believes in maintaining a productive work environment free of harassment. We treat each other with respect and do not commit or tolerate harassment in any form, including sexual harassment. Curi expects our Business Partners to also prohibit harassment by or against anyone involved in our operations, including employees, independent sales associates, and others working on behalf or with Curi and our Business Partners. We expect our Business Partners to follow these principles and cooperate with Curi in maintaining its commitment to a workplace free of harassment.

    4. Data and property: Curi expects our Business Partners to act responsibly to protect our physical and intellectual assets. This includes Curi-provided information technology, platforms, and systems, when authorized by Curi to use such assets. We expect Business Partners to uphold contractual responsibilities and to exercise care to avoid exposing Curi’s assets to loss, theft, or damage, and to promptly report any data security events.

    5. Comply with applicable laws and regulations: As a threshold requirement, we expect Business Partners to comply with laws and regulations of the countries where they are located and where they do business, as well as the laws of jurisdictions that apply to work done for Curi. Curi expects Business Partners to require that any individual who represents or appears to represent them comply with the same laws and regulations that govern each Business Partner.

  3. HONESTY AND TRUSTWORTHINESS
    1. Maintain complete and accurate business records: Curi expects Business Partners will maintain honest and accurate books and records of business information that comply with reasonable standards of accounting. Any required reports supplied to Curi must be complete and may not hide or disguise any pertinent information.

    2. Contractual requirements: This Code complements and does not replace the agreement or contract Business Partners have with Curi. Curi expects Business Partners to comply with the terms of any applicable contract or agreement. In addition to the terms of such contract or agreement, Curi expects Business Partners will comply with all global anti-bribery laws (including but not limited to the US Foreign Corrupt Practices Act), industry-specific laws and regulations governing Business Partners; and laws and regulations on data security, artificial intelligence and privacy pertaining to any Curi data shared with Business Partner.

    3. Anti-corruption: Curi does not tolerate bribery or corruption in any form and Business Partners may not directly or indirectly offer, promise, or authorize the giving of anything of value for an improper reason. Curi also does not permit or sanction facilitating payments, regardless of local custom or practice. Business Partners may not engage in or allow embezzlement, money-laundering, extortion, bribes, kickbacks or reciprocity, or other forms of corruption in connection with their relationship with Curi. Curi expects all Business Partners to comply with all anti- corruption and global trade compliance laws and regulations, including but not limited to the USA Patriot Act and the Office of Foreign Asset Controls regulations.

    4. Fair Competition: Curi is committed to integrity in our marketplace and expects its Business Partners to comply with all applicable antitrust and fair competition laws by avoiding any conduct that would unlawfully restrain competitors. Compliance with fair competition laws requires careful avoidance of price-fixing, collusion, predatory pricing, harassing competitors, and stealing trade secrets.

    5. Conflict of Interest: A conflict of interest may occur when an individual’s personal or private interests interfere or appear to interfere with their professional judgment or commitment to business interests. Curi expects Business Partners to avoid giving the appearance of or engaging in any actual improper conduct and/or conflicts of interest.

    6. Gifts and entertainment: Curi’s approach to Business Partner relationships is straightforward. We expect a competitive price for the products and services offered. While we value strong business relationships, we view the offer of lavish gifts and personal favors from Business Partners as interfering with our goal of securing the best deal for Curi and can lead to actual or an appearance of undue influence and possibly interfere with sound business judgment. Curi has a gifts and entertainment policy that applies to all team members on accepting anything of monetary value. We expect our Business Partners to exercise respect our policies and to use good judgment and moderation when offering gifts or entertainment to Curi team members.

  4. EMPLOYMENT AND ENVIRONMENTAL PRACTICES
    1. Harassment: At Curi, we believe in maintaining a productive work environment free of harassment. We treat each other with respect and do not commit or tolerate harassment in any form, including sexual harassment. We prohibit harassment by or against anyone involved in our operations, including employees, independent sales associates, Business Partners, and any other third party working with Curi team members. We expect our Business Partners, whether operating on Curi premises or other location, to follow these principles and cooperate with Curi in maintaining its commitment to a workplace free of harassment.

    2. Discrimination: Curi is committed to creating an inclusive work environment of mutual respect, diverse backgrounds, ethnicities, cultures, beliefs, and experiences that is free from discrimination, harassment, and intimidation. We expect the same of our Business Partners. We expect Business Partners to comply with laws prohibiting discrimination based on a person’s race, color, religion, sex, national origin, disability, age, sexual orientation, gender identity, veteran status or any other status protected by applicable law.

    3. Human Rights: Curi expects its Business Partners to follow applicable wage and hour laws and to comply with working age laws and requirements. We take seriously our responsibility to remain alert for any risks to human rights and to ensure that our business practices, and those of our Business Partners do not foster or support slavery or human trafficking.

    4. Safety: Curi expects Business Partners to respect our commitment to a safe workplace free of health and safety hazards. We do not tolerate threats, intimidation, aggression, or violent behavior of any kind.

    5. Environment: Curi expects our Business Partners to comply with environmental laws.
